Ambulatory Surgery Centers and Outpatient Imaging


Boult Cummings Health Care attorneys have many years of experience representing a variety of ancillary service ventures in which physicians are joint venture partners. These ventures include ambulatory surgery centers, imaging centers, cardiac catheterization labs, PET scanning centers, sleep centers, specialty hospitals and whole-hospital joint ventures.  We represent several national ancillary service management companies, both public and private, in joint venture transactions with physicians.  In addition, our attorneys have represented a number of hospitals in joint venture transactions with physicians, including nonprofit hospitals and national for-profit hospital companies.  By representing physician groups, hospitals and for-profit management companies in a variety of transactions, we have a unique perspective as to the types of issues and concerns that are important for each type of participant.  We pride ourselves in being able to use our experience to anticipate potential troublesome issues in physician joint venture transactions, and work to provide innovative solutions before problems arise.

Our attorneys assist with the preparation of offering memoranda, partnership agreements, operating agreements, leases, management agreements, development agreements and other documents needed in the context of joint venture formation. Due to our representation of the largest nonprofit system in our market as well as others, we have special experience representing nonprofit hospital systems in joint venture transactions in which we utilize the resources of our Tax attorneys who are well-versed in the latest developments applicable to tax exempt entities. Our experience includes acquisition, development, formation, syndication and/or the administration of ongoing operational advice to over 50 ambulatory surgery centers and in excess of 20 imaging centers, hospital joint ventures or other ancillary joint ventures.
