Richard Warren divides his practice between the acquisition, development and financing of commercial real estate projects and general corporate law. In recent years, his real estate practice has included representing both buyers and sellers of downtown and suburban office buildings, as well as the representation of Hines Interests in the development and leasing of an office/retail project on the campus of Vanderbilt University. He has represented other clients in acquiring and selling portfolios of apartment and retail projects across the nation and has represented numerous institutional lenders in financing such projects.
On the corporate side, Richard plays an ongoing role in coordinating the firm's representation of a number of closely held corporations in the construction, manufacturing and restaurant industries, as well as several large nonprofit organizations. This has included representation of a client in establishing an employee stock ownership plan (ESOP) to acquire complete ownership of a chain of franchised restaurants. In recent years, he has assisted in tax and estate planning as it relates to privately held businesses.
He frequently lectures for various professional and trade associations. His presentations have included speeches for the American Bar Association on real estate syndication and limited liability companies, the Tennessee Bar Association on construction lending, Robert Morris and Associates on real estate workouts, the Price Waterhouse Executive Forum on the impact of the Americans with Disabilities Act on commercial and real estate transactions, the Tennessee Bankers Association on lenders' compliance with environmental laws, and the International Council of Shopping Centers on real estate brokers and commercial lease transactions.
Richard is also active in civic and community affairs, serving as an elder at Westminster Presbyterian Church. His pro bono legal activities have included representation of Urban Housing Solutions in Nashville in the development of a 100-room, single-room occupancy facility (SRO) for the homeless with financing provided by a consortium of local banks. He has served as counsel to Nashville Public Television for a number of years and assisted in the establishment of a community based nonprofit corporation to assume responsibility for the station from the Metropolitan School Board.
In addition to his nine years as Chairman of the Board of Urban Housing Solutions and three years as a Director and Vice President for Personnel for the Pastoral Counseling Centers of Tennessee, Richard presently serves as a Director and Secretary of Nashville Public Television.
Richard is a member of the Nashville, Tennessee and American (Chair, Real Property Section Committee on Syndication and Securities, 1990-1993; Vice-Chair, Partnerships and Other Investment Vehicles, 1993-1998: Chair 1999-2001) Bar Associations. He was recently selected by his peers for inclusion in The Best Lawyers in America® 2008 and Mid-South Super Lawyers 2008 for real estate law and Chambers USA: America's Leading Lawyers for Business 2008 for his real estate work.
